BYLAWS OF

Gonzaga High Performance Volleyball Club

Article 1 – Name

The name of the organization shall be Gonzaga High Performance Volleyball Club (hereinafter referred to as “the Club”).



Article 2 – Purpose and Objectives

The Club is a non-profit organization dedicated to:

  1. Promoting and developing volleyball in accordance with Volleyball Canada (VC) and Newfoundland and Labrador Volleyball Association (NLVA) policies.
  2. Providing safe, inclusive, and ethical volleyball programming for athletes of athletes in a high performance setting. Encouraging respect for all participants.
  3. Supporting athlete and coach development aligned with Volleyball Canada's Long-Term Athlete Development (LTAD) principles.
  4. Representing the Club at NLVA-sanctioned and VC-recognized events.




Article 3 – Affiliation

  1. The Club shall maintain good standing with:
    • Volleyball Canada
    • Newfoundland and Labrador Volleyball Association
  2. The Club shall comply with all applicable bylaws, policies, rules, codes of conduct, and Safe Sport requirements set forth by VC and NLVA.
  3. In the event of a conflict, VC and NLVA policies shall take precedence over these bylaws.






Article 4 – Membership

4.1 Categories of Membership

Membership may include:

  • Athlete Members
  • Coach Members
  • Board Members
  • Honorary Members (non-voting)

4.2 Membership Requirements

  1. All members must:
    • Register through NLVA and/or VC-approved systems as required.
    • Abide by VC, NLVA, and Club policies, including Codes of Conduct and Safe Sport policies.
  2. Coaches and officials must hold current certification recognized by VC and NLVA or be working on and registered to complete coach education.

4.3 Membership Rights

  • Members in good standing may participate in Club activities.
  • Voting rights are limited to members aged 18+ as defined by the Club.



Article 5 – Governance

5.1 Board of Directors

The Club shall be governed by a Board of Directors consisting of:

  • President
  • Vice-President
  • Secretary/Treasurer
  • Director(s)-at-Large

5.2 Duties of Officers

  • President: Oversees Club operations and represents the Club externally.
  • Vice-President: Assists the President and assumes duties in their absence.
  • Secretary: Maintains records, minutes, and official documents.
  • Treasurer: Manages finances, reporting, and budgeting.
  • Directors-at-Large: Support governance and special projects.

5.3 Term of Office

  • Board members shall serve a term of [2–3] years, renewable.
  • Elections shall occur at the Annual General Meeting (AGM).




Article 6 – Meetings

6.1 Annual General Meeting (AGM)

  1. The Club shall hold an AGM once per year.
  2. Members shall receive at least 14 days’ notice.
  3. Quorum shall consist of  eligible voting members.

6.2 Board Meetings

  • The Board shall meet at least [3] times per year.
  • Decisions shall be made by majority vote.



Article 7 – Financial Management

  1. The Club shall operate on a non-profit basis.
  2. All funds shall be used solely for the promotion and development of the Club.
  3. The fiscal year shall run from January 1-December 31
  4. Financial records shall be maintained and available for review.
  5. Signing authority shall require two (2) authorized Board members one of who must be the President or Vice President



Article 8 – Conduct and Discipline

  1. The Club adopts and enforces:
    • VC and NLVA Codes of Conduct
    • Safe Sport and Maltreatment Policies
    • Discipline and Complaints Policies
  2. All members agree to comply with these policies.
  3. Discipline matters shall be handled in accordance with NLVA and VC procedures.



Article 9 – Safe Sport and Athlete Protection

  1. The Club is committed to providing a safe and respectful environment.
  2. The Club shall follow all VC and NLVA Safe Sport policies, including:
    • Screening requirements
    • Abuse prevention
    • Reporting obligations
  3. All coaches, officials, and volunteers must complete required Safe Sport training.




Article 10 – Equity, Diversity, and Inclusion

The Club shall:

  1. Provide equal opportunity regardless of gender, race, ability, religion, or background.
  2. Promote inclusive programming consistent with VC and NLVA values.
  3. Support accessibility and fair participation.



Article 11 – Amendments

  1. These bylaws may be amended by a two-thirds (2/3) majority vote at an AGM or Special General Meeting.
  2. Proposed amendments must be circulated to members at least 14 days prior to the vote.
  3. Amendments must remain consistent and adhere with VC and NLVA governing documents.



Article 12 – Dissolution

12.1 Upon dissolution, all remaining assets shall be distributed to:

First Choice-Open Courts Foundation

12.2  No assets shall be distributed to individual members.

 

 

Article 13- Club Identity

 

13.1 Club is in no way  affiliated with Gonzaga High School

13.2 Club teams will adopt club colours and Logo with special exceptions to team units with existing uniforms 

13.3  Club Colours will Be Maroon, Royal Blue, Grey And/Or White or any combination of those

13.4 Each team will be individually and appropriately named and approved By Board  as such  

Ex.   Gonzaga Gulls

 

13.5 Below will be the Official club Logo

These bylaws were adopted by the members of Gonzaga High Performance Volleyball Club on:
